Terms of Service
- Agreement. These Terms of Service (“Terms”) govern your access to and use of AmpRoy, including its website, client portal, and related services (the “Service”), provided by Amp Music, LLC (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind it.
- Eligibility. You must be at least 18 years old and able to form a binding contract to use the Service.
- Accounts. Accounts are created by invitation. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly at [support email] of any unauthorized use.
- The Service. The Service lets publishing administrators process royalty statements and lets their clients view earnings, payments, catalog, registration, and document information. The Service is a recordkeeping and reporting tool. Your publishing, administration, or co-publishing agreement with us (your “Underlying Agreement”) governs your royalty rights, fees, accounting periods, and payment terms. If these Terms conflict with your Underlying Agreement on any of those subjects, the Underlying Agreement controls.
- Statement information. Information displayed in the Service is derived from statements issued by third parties such as performing rights organizations, mechanical collection societies, and publishers. We do not control those third parties and are not responsible for errors, delays, or omissions in their statements. Amounts shown before a payment is made are estimates of amounts payable and may be adjusted for corrections, reserves, chargebacks, recoupment, fees, or late-reported income.
- AI-assisted processing. We use automated tools, including artificial intelligence, to help read and organize statement data. Extracted data is reviewed before it is published to your account, and calculations of fees, recoupment, and balances are performed by fixed rules. You agree to notify us within [90] days of a statement’s publication if you believe it contains an error.
- Your content. You retain ownership of documents and information you upload (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to provide the Service. You represent that you have the right to upload Your Content.
- Acceptable use. You agree not to: access another client’s data; attempt to bypass security or access controls; reverse engineer the Service; upload malicious code; use the Service for any unlawful purpose; or share your account with people who are not authorized users.
- Fees. Any fees for the Service, and any administration fees deducted from royalties, are set by your Underlying Agreement or a separate order.
- Confidentiality. Each party will protect the other’s non-public business and financial information with reasonable care and use it only as needed for the Service and the Underlying Agreement.
- Termination. We may suspend or terminate access for violation of these Terms. You may stop using the Service at any time. On termination, we will make your statement and payment records available for export for [60] days, subject to your Underlying Agreement and our retention obligations.
- Disclaimers. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Service does not provide legal, tax, or financial advice.
- Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM THE SERVICE. OUR TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM. This section does not limit any obligation to pay royalties owed under your Underlying Agreement.
- Indemnity. You agree to indemnify us against claims arising from Your Content or your violation of these Terms.
- Changes. We may update these Terms. We will notify you of material changes by email or in the Service at least 30 days before they take effect.
- Governing law. These Terms are governed by the laws of the State of [State], without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in [County, State], unless your Underlying Agreement specifies otherwise.
